1. Acceptance of Terms

By accessing or using Shouht, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Description of Service

Shouht is a location-based social platform that allows users to post messages (Shouhts), interact with nearby users, and engage in community discussions. The service includes features such as messaging, channels, gamification, and premium subscriptions.

3. User Accounts

To use certain features of Shouht, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information during registration
• Updating your information to keep it current

Age Requirement: You must be at least 13 years old to create an account and use Shouht. We collect date of birth during registration to verify age eligibility. In compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under 13. If we discover that a child under 13 has created an account, we will promptly delete it.

4. User Conduct

Your use of Shouht is governed by our Community Guidelines, which are incorporated into these Terms by reference. When using Shouht, you agree not to:

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Interfere with or disrupt the service or servers
• Collect or store personal data about other users without their consent
• Use the service for any unlawful purpose
• Spam, phish, or engage in other deceptive practices
• Circumvent any security features of the service
• Use location spoofing or falsify your geographic location

Violations may result in content removal, account restrictions, temporary bans, or permanent account termination. See our Community Guidelines for detailed enforcement policies.

5. Content

You retain ownership of content you post to Shouht, including Shouhts, replies, messages, images, videos, profile content, and custom emojis/custom reaction assets. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the service.

We reserve the right to remove or disable any content, including custom emojis, that violates these terms, our Community Guidelines, or that we find objectionable for any reason. Removed custom emojis may continue to appear as disabled historical placeholders where needed to preserve conversation and reaction history.

5.1 Live Streams and Replays

When the screen immediately before you go live says that your live stream will be saved, selecting "Go Live" directs Shouht to transmit and record the audio and video you provide, process it into a replay and poster, and make the replay available to the same audience as the related Shouht for the period shown. The license you grant for your content includes the technical rights needed to transmit, record, host, transcode, reproduce, display, and distribute that live stream and replay solely to operate and provide the Service.

You are responsible for the content of your live stream. Do not stream a person's voice, image, private information, music, performance, or other protected material unless you have the rights and permissions required to do so. You must comply with recording, privacy, publicity, copyright, and other laws that apply where you and the people you record are located.

Shouht does not guarantee that every live stream will be saved or that a replay will remain available for the full displayed period. A replay may fail to process, expire, or be disabled or deleted with its related Shouht, account, channel access, or moderation action. Starting a live stream does not create a separate Rizz charge or replay notification unless the Service clearly says otherwise.

6. Premium Subscriptions

Shouht offers premium subscription plans with additional features. Subscriptions are billed according to the plan you select and will automatically renew unless cancelled. Refunds are handled according to the policies of your payment platform (e.g., Apple App Store, Google Play Store).

Custom emoji upload, management, gifting, and initiated use are Premium features. If Premium expires, affected custom emojis may remain visible in a disabled/faded state but cannot be newly used until Premium is active again.

7. Rizz and Virtual Currency

Rizz is a virtual currency within Shouht used to amplify your Shouhts. Rizz has no monetary value outside the platform and cannot be exchanged for real money. Rizz accrues automatically and may be spent to notify nearby users of your Shouhts.

Premium users may spend Rizz on eligible in-app actions, including gifting a custom emoji invitation to another user when available. A custom emoji gift does not remove the recipient's Premium requirement to use that emoji.

8. Location Services

Shouht uses your device's location to provide location-based features. By enabling location services, you consent to the collection and use of your location data as described in our Privacy Policy.

8.1 Privacy and Analytics

We use Google Analytics 4 on the web and Google Analytics for Firebase in our mobile apps to measure sessions, pages and app screens viewed, feature interactions, device and app information, and approximate location. Analytics is optional and may be enabled by default where permitted by law. You can turn Analytics Cookies off at any time in Settings → Privacy → Manage Cookie Preferences. Accepting these Terms acknowledges this disclosure but does not itself constitute consent to analytics.

9. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for any reason, including breach of these Terms. You may also delete your account at any time through the app settings.

10. Disclaimers

The service is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted, secure, or error-free. We are not responsible for any content posted by users.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

12. Advertising

Shouht displays advertisements to eligible users who do not have a Premium subscription. By using the Service, you acknowledge that:

• Advertisements may be displayed in your feed and other areas of the app
• We use third-party advertising services (Google AdMob/AdSense)
• Advertising partners may collect certain information for ad targeting, subject to your consent and privacy settings
• You can reduce personalized ad targeting through cookie, Do Not Sell, Global Privacy Control, and device privacy settings
• You can eliminate ads by subscribing to Premium

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration

You and Shouht agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be held in Delaware or at another mutually agreed location. The arbitrator's decision will be final and binding.

Class Action Waiver

YOU AND Shouht AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out.

14. Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For any claims not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Delaware.

15. Copyright and DMCA

We respect the intellectual property rights of others and expect users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our DMCA Agent with the following information:

• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and its location on the Service
• Your contact information (address, telephone number, email address)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

We may terminate the accounts of users who repeatedly infringe copyrights.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes through the app or via email. Continued use of the service after changes constitutes acceptance of the modified terms.
