This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Shouht ("Company", "we", "us", or "our") for the use of the Shouht mobile application and related services (collectively, the "Application").
By downloading, installing, or using the Application, you agree to be bound by this EULA, our Terms of Service, and our Privacy Policy. If you do not agree to these terms, do not download, install, or use the Application.
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on mobile devices that you own or control, solely for your personal, non-commercial use.
This license does not allow you to:
We may release updates, patches, or new versions of the Application from time to time. Such updates may be required for continued use of the Application. You agree that this EULA applies to any updates unless a separate license agreement is provided with the update.
The Application, including all content, features, functionality, design, graphics, logos, icons, images, audio clips, and software, is owned by Shouht or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
"Shouht", the Shouht logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Shouht. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.
If you provide any feedback, suggestions, or ideas about the Application ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute such Feedback for any purpose.
You retain ownership of content you create and post through the Application ("User Content"), including Shouhts, replies, messages, images, and videos. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute your User Content solely in connection with operating and providing the Application.
You are solely responsible for your User Content. You represent and warrant that:
We reserve the right to remove or disable access to any User Content that violates this EULA or our Community Guidelines, without prior notice.
The Application offers a Premium subscription that provides enhanced features. Premium subscriptions are billed on a recurring basis (monthly or annually) through the app store where you downloaded the Application (Apple App Store or Google Play Store).
The Application includes a virtual currency called "Rizz" that is used to access certain features. Important terms regarding Rizz:
All purchases are processed by Apple (App Store) or Google (Play Store). Refund requests must be made directly through the respective app store according to their refund policies:
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Application, you consent to our data practices as described in the Privacy Policy.
You may terminate this license at any time by deleting the Application from your device and deleting your account through the Application settings. See our Data Deletion Instructions for details.
We may terminate or suspend your license and access to the Application immediately, without prior notice, if:
Upon termination, your right to use the Application will immediately cease. Sections 2 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), and 9 (Indemnification) shall survive termination.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT PROVIDED THROUGH THE APPLICATION.
YOUR USE OF THE APPLICATION IS AT YOUR SOLE RISK. WE ARE NOT RESPONSIBLE FOR ANY USER CONTENT OR THE ACTIONS OF OTHER USERS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Shouht, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless Shouht, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
The Application may be subject to United States export control laws. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs maintained by the Office of Foreign Assets Control.
The Application is a "commercial item" as that term is defined in 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. 12.212. If you are a U.S. Government end user, the Application is licensed to you only as a commercial item and with only those rights as are granted to all other end users under this EULA.
This EULA and any disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
We reserve the right to modify this EULA at any time. If we make material changes, we will notify you by updating the "Last updated" date and, where appropriate, through the Application or via email. Your continued use of the Application after any changes indicates your acceptance of the modified EULA.
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Shouht regarding the Application and supersedes all prior agreements and understandings.
You may not assign or transfer this EULA or your rights hereunder. We may freely assign this EULA without restriction.
